Social Media Authorization

This Social Media Authorization (Authorization) explains the terms on which a social media account (Account) is connected to, and content is published to that Account through, the website and Client Portal (Platform) operated by MyStdio, a product of Zyon Entertainment Pty Ltd (ABN 24 640 498 997, 383 Pitt Street, Sydney NSW 2000, Australia) (we, our or us). The Platform is used by a video production company (Studio) to manage and publish social media content on behalf of its own client, who owns or controls the Account (Account Owner). Capitalised terms not defined in this Authorization have the meaning given to them in the Terms of Use.

This Authorization is intended to be read by the Account Owner before an Account is connected, and it also sets out obligations that flow down to the Studio when the Studio connects, manages, or publishes to an Account on the Account Owner's behalf.

1. Purpose

The Platform allows a Studio to connect an Account Owner's social media accounts and to create, schedule, and publish posts to those accounts on the Account Owner's behalf. This is done using a third-party social-media publishing provider, which interfaces with the application programming interfaces (APIs) of each connected platform, currently including Facebook, Instagram, X, YouTube, LinkedIn, and TikTok (each a Platform Provider). This Authorization governs that connection and publishing activity.

2. Authorization to Connect and Publish

By connecting an Account to the Platform, or by permitting or directing the Studio to connect an Account, the Account Owner:

  • confirms that they own the Account, or are otherwise authorized by the owner of the Account to manage it and to grant the authorizations described in this Authorization;
  • authorizes the Studio and us to access the Account, to view Account information reasonably required to provide the publishing features of the Platform, and to create, schedule, edit, and publish posts, captions, images, video, and other content (Content) to the Account on the Account Owner's behalf;
  • authorizes us to transmit Content and Account credentials or access tokens to the applicable Platform Provider and to our third-party social-media publishing provider for the purpose of publishing Content; and
  • agrees that the Studio, and not us, is responsible for deciding what Content is published to the Account, unless the Studio has authorized the Account Owner or another party to do so directly through the Platform.

3. Content Rights and Disclosures

The Account Owner and the Studio are jointly responsible for ensuring that:

  • they hold, or have obtained, all rights, licenses, consents, and clearances necessary to post the Content, including any rights relating to footage, images, music, likeness, or third-party brand elements;
  • the Content complies with all applicable laws, including consumer protection and advertising laws, and with each Platform Provider's terms of service, community guidelines, and advertising policies; and
  • any required advertising, sponsorship, endorsement, or branded-content disclosure is included with the Content, for example (without limitation) under the United States Federal Trade Commission's endorsement guides, the guidance issued by the Australian Competition and Consumer Commission, and the rules of the UK Advertising Standards Authority and Competition and Markets Authority, as applicable to the Account Owner, the Studio, and the audience of the post.

Where Content includes material generated or modified using artificial intelligence tools available on the Platform, that Content will be labeled as AI-generated or AI-assisted where required by the applicable Platform Provider's policies or by law. 4. Third-Party Platforms and APIs

Publishing to a connected Account is performed using a third-party social-media publishing provider, which in turn uses each Platform Provider's official API. Use of these APIs is subject to the applicable Platform Provider's own terms, developer policies, and data practices, in addition to this Authorization. We do not control, and are not responsible for, a Platform Provider's or our publishing provider's availability, changes to their APIs or policies, or their handling of Account data except as described in our Privacy Policy.

YouTube API Services

This feature uses YouTube API Services. By connecting a YouTube Account, the Account Owner acknowledges and agrees to the YouTube Terms of Service. Use of information received from the YouTube API is subject to the Google Privacy Policy. The Account Owner may revoke the Platform's access to their YouTube Account at any time through the Google security settings page at myaccount.google.com/permissions. When a YouTube Account is disconnected from the Platform, whether by the Account Owner, the Studio, or us, any YouTube data we have stored for that Account is deleted in accordance with our data retention practices, as further described in our Privacy Policy.

Other Platform Providers

Connecting and publishing to a Facebook or Instagram Account is subject to Meta's applicable terms and policies (including the Meta Platform Terms and Developer Policies). Connecting and publishing to a TikTok Account is subject to TikTok's Developer Terms of Service and, where applicable, TikTok's branded-content and disclosure requirements. Connecting and publishing to an X Account is subject to the X Developer Agreement and Policy. Connecting and publishing to a LinkedIn Account is subject to the LinkedIn API Terms of Use.

5. Studio Obligations

Where a Studio connects, manages, or publishes to an Account under this Authorization, the Studio must:

  • obtain the Account Owner's informed agreement to this Authorization, or to substantially equivalent terms, before connecting the Account;
  • only publish Content the Studio is authorized by the Account Owner to publish, and only within the scope of any brief, approval process, or posting schedule agreed with the Account Owner;
  • promptly action any request from the Account Owner to disconnect an Account or remove published Content; and
  • comply with section 3 (Content Rights and Disclosures) in respect of every post made to the Account.

6. Revocation

The Account Owner may withdraw this Authorization, and disconnect an Account from the Platform, at any time by notifying the Studio, by disconnecting the Account through the Platform if the Account Owner has direct access, or by revoking the Platform's or our publishing provider's access directly through the applicable Platform Provider's own account settings (for example, the Google permissions page linked in section 4 for YouTube). Once an Account is disconnected, we will stop publishing to that Account and will remove the stored access credentials and tokens for that Account, and will delete other stored Account data in accordance with our Privacy Policy.

7. No Liability for Platform Provider Actions

Platform Providers may independently suspend, restrict, or terminate an Account, or remove Content, in accordance with their own terms. We are not responsible for these actions and do not guarantee that any Content will remain published or that any Account will remain accessible.
